ETHICAL CHANNEL
Definition
The purpose of the Ethical Channel Policy is to define the operation of the internal information system (hereinafter, Ethical Channel) that the company Comercial Macy's Canarias S.L. (hereinafter, The Mint Company) makes available to informants so that they can confidentially report any irregularity that constitutes a violation of The Mint Company's Code of Ethics and/or current regulations.
This Policy complies with the requirements established in Law 2/2023, of February 20, regulating the protection of persons who report regulatory violations and the fight against corruption.
Scope of Application
The Ethical Channel Policy applies to all informants who have obtained information about violations in a work context and who make a report through the Ethical Channel. Any employee of The Mint Company or of a Supplier with whom The Mint Company maintains a commercial relationship is entitled to make a report through the Ethical Channel.
Through this channel, the informant may report:
Any actions or omissions that may constitute violations of European Union law, provided that:
- They fall within the scope of the acts of the European Union listed in the annex to Directive (EU) 2019/1937 of the European Parliament and of the Council of October 23, 2019, on the protection of persons who report breaches of Union law, regardless of how they are classified under domestic law.
- They affect the financial interests of the European Union as provided in Article 325 of the Treaty on the Functioning of the European Union (TFEU).
- They impact the internal market, as contemplated in Article 26, paragraph 2 of the TFEU, including violations of European Union competition law and state aid rules, as well as violations relating to the internal market concerning acts that breach corporate tax rules or practices aimed at obtaining a tax advantage that distorts the object or purpose of the applicable corporate tax legislation.
- Actions or omissions that may constitute a criminal or serious administrative offense. In any case, this includes all serious or very serious criminal or administrative offenses that result in financial harm to the Public Treasury and Social Security.
This protection does not exclude the application of the rules governing criminal proceedings, including investigative measures.
The protection provided to workers who report violations of labor law regarding occupational health and safety is understood without prejudice to that established in specific regulations.
The protection provided will not apply to information that affects classified information. It also does not affect obligations arising from the protection of professional secrecy for medical and legal professionals, the duty of confidentiality of the Security Forces and Bodies within the scope of their activities, or the secrecy of judicial deliberations.
The provisions of this space will not apply to information related to violations in the processing of procurement procedures that contain classified information or have been declared secret or reserved, or those whose execution requires special security measures under current legislation, or where the protection of essential interests for state security requires it.
In the case of information or public disclosure of any of the violations referred to in Part II of the annex to Directive (EU) 2019/1937 of the European Parliament and of the Council of October 23, 2019, the specific regulations on reporting violations in these matters will apply.
Confidentiality
Users of this Channel should be aware that any communications submitted will be considered confidential and private information. To this effect, the identity of the good-faith informant will be especially safeguarded and protected against any kind of retaliation for the report made, in accordance with the provisions of Law 2/2023.
The Ethical Channel is designed, established, and managed in a secure manner, allowing for anonymous communications in a way that guarantees the confidentiality of the identity of the informant and any third party mentioned in the communication, as well as the actions taken in its management and processing, preventing access by unauthorized personnel.
